These terms and conditions (“Terms”) are applicable to the #DiscoverFuture Campaign offer (“Offer”) by Udacity India Private Limited (“Udacity”). By accessing this webpage, you confirm that you accept these Terms and that you agree to comply with them.
The Offer is only available to those persons who are resident in India between 22nd November 2018 and 29th November 2018.
The Offer is only valid from 22nd November 2018 and 29th November 2018. (“Offer Period”).
The Offer is only applicable to those Nanodegree Programs as are listed on this webpage available at in.udacity.com/offers/discover-future (“Eligible Course(s)”). It is clarified that this Offer is only applicable to the Eligible Courses and shall not be valid and/or applicable to any other course and/or Nanodegree Program offered by Udacity.
Only those persons, who enroll in an Eligible Course within the Offer Period (“Registered Students”), shall be eligible to avail the 01% (One Percent) discount offered (“Discount”) on the Eligible Courses.
The Registered Students have to complete the relevant Eligible Course, within the time period stipulated for the completion of the respective Eligible Course (as mentioned on the individual web-page for each Eligible Course) (“Stipulated Time”), as per the terms and conditions provided for the respective Eligible Course.
Only upon completion of the Eligible Course by the Registered Students within the Stipulated Time and in accordance with the terms and conditions prescribed by Udacity, shall such Registered Students be eligible to receive an Amazon Echo (“Device”) free of cost (inclusive of all taxes), directly from Amazon India (www.amazon.in) (“Amazon”). Amazon shall deliver the Device directly to the Registered Students’ address, which such Registered Student shall register with Udacity while enrolling on to the Eligible Course(s). The Registered Students hereby grant their irrevocable consent to Udacity for sharing their personal information, i.e. name, address and phone number, with Amazon.
In no circumstances whatsoever, shall Udacity be liable, for any action of Amazon, including but not limited to, a failure and/or refusal to deliver the Device and/or honour the Offer, upon the completion of the Eligible Course by a Registered Student (in accordance with Clause 7 above).
In no circumstances whatsoever, shall any Registered Student, who completes the Eligible Course within the Stipulated Time, be entitled to request a cash payment as a replacement or in addition to the Device. Udacity shall not entertain any kind of substitution or replacement request(s), made in any form and/or under any circumstances, and shall have no liability on this account whatsoever.
Udacity reserves the right to (a) make any changes to the terms of the Offer or (b) terminate the Offer, at its sole and absolute discretion at any point in time.
Any fees paid by the Registered Students in relation to the Offer and/or the Eligible Course(s) shall be refunded only if the Registered Student(s) request for a refund within 7 (seven) days of their enrolment on to the Eligible Course(s).
Udacity reserves the right to disqualify any Registered Student for any reason, in its sole and absolute discretion.
Each Registered Student agrees to receive phone calls and emails from Udacity and its representatives in relation to the Offer and Eligible Course(s).
Udacity reserves the right to withhold the Offer, at its sole and absolute discretion, and shall not be liable in any manner whatsoever regarding the same.
Each Registered Student hereby releases and discharges Udacity from any and all claims and/or causes of action, known or unknown, arising from or relating to the Device, Eligible Courses and the Offer.
By availing this Offer each Registered Student, fully and unconditionally agrees to Udacity’s decisions in administering the Offer, which are final and binding in all matters related to this Offer, and shall not be subject to any appeal or contestation.
Registered Students agree that Udacity may collect, store, share and otherwise use information provided during the registration/application process, including, but not limited to, name, mailing address, phone number, and email address, including for administering the Offer and Eligible Courses and verifying the Registered Student’s identity, postal address and telephone number.
Registered Students further agree that their name, address and telephone number shall be shared with Amazon for the purposes of delivering the Device to their registered address (with Udacity), in the event of a Registered Student completing the Eligible Course within the Stipulated Time.
Liability and Indemnity
Udacity, its employees, officers and directors are not responsible or liable for any damages, or economic or emotional loss related to the Registered Student’s availing of the Offer. Each Registered Student releases Udacity, its employees, officers and directors from any and all claims, including claims that acts or omissions by Udacity, resulted in any damages, or economic or emotional loss related to the Offer.
Each Registered Student will indemnify Udacity and its affiliates, directors, officers, employees against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any allegation or third-party legal proceeding to the extent arising from the Registered Student’s acts or omissions in relation to the Offer.
- If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the other provisions herein, and shall not affect the validity and enforceability of any remaining provisions.
Governing Law and Dispute Resolution
All disputes between any Registered Student and Udacity (hereinafter referred to as “Party” individually, and “Parties” collectively) will be construed and governed according to the laws of India and will be governed by the procedure outlined below.
Informal Dispute Resolution: Udacity prefers to address the Registered Student’s concerns without needing a formal legal proceeding. Before filing a claim against Udacity, the Registered Student agrees to try to resolve the dispute informally by contacting firstname.lastname@example.org. Udacity will try to resolve the dispute informally by contacting the Registered Student through email. If a dispute is not resolved within 15 days after submission, the Registered Student or Udacity may bring a formal proceeding through the arbitration process set forth below.
Arbitration: In the event the dispute is not settled in accordance with clause above, the dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 including any amendment or modification thereto. The arbitral tribunal shall consist of one (1) arbitrator mutually appointed by the Parties. The seat and venue of arbitration shall be New Delhi. The award and decision of the arbitrator shall be final and binding on the Parties. The language of the arbitration proceedings shall be English. Each Party shall bear its own expenses and costs in relation to the arbitral proceedings contemplated under this section. The arbitrator shall be entitled to award costs of the arbitration. Subject to the aforesaid, each Party to the arbitration shall bear its own expense in relation thereto, including but not limited to such Party’s attorneys’ fees and expenses. The expenses and fees of the arbitrator shall be borne by the Parties equally. Subject to the arbitration agreement above, any suit or proceeding arising out of or relating to the Terms and/or any related agreement shall be brought only in a court located in New Delhi, India, and the Parties irrevocably submit to the personal and subject matter jurisdiction and venue of such courts.
Exceptions to Agreement to Arbitrate: Udacity may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Udacity services, or infringement of intellectual property rights (for example, trademark, trade secret, copyright or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above.
